Legal support for a transaction is most useful when the value, structure or risk cannot be assessed from a standard contract alone. The work is not limited to drafting: it includes identifying the parties, checking authority, analysing documents, allocating risk and documenting the agreed closing process.

When legal support is especially useful

  • real-estate transactions, corporate interests or significant assets;
  • transactions involving a representative, a minor, a foreign party or several owners;
  • property with a pledge, restriction, dispute or unclear ownership history;
  • non-standard payment, escrow or staged handover arrangements;
  • contracts where important terms are negotiated individually.

What the review covers

The scope depends on the transaction but may include title and corporate-document review, authority and identity checks, examination of restrictions and public-register information, a contract review, payment and handover mechanics, and a checklist of documents to be signed or obtained.

Risk allocation in the contract

A well-structured contract identifies the subject matter, price, timing, representations, conditions precedent, liability and the consequences of non-performance. The appropriate wording depends on the particular transaction; copying clauses from an unrelated deal can leave material risks unaddressed.

Closing and after the transaction

The parties should record payment, transfer of documents and property, filings or registration actions, and any outstanding post-closing obligations. Retaining the final documents and correspondence is important if a question arises later.
