Russian Contract for Work: Terms, Deliverables and Acceptance

In brief: under a Russian contract for work, the contractor performs specified work and transfers its result to the customer; the customer accepts and pays for that result. In a dispute, the agreed scope, correspondence, delivery records and timely comments are usually central.

What makes it a contract for work

A contract for work is directed at a deliverable that can be handed over: a manufactured item, a repaired property, design documentation or another agreed result. The label of the agreement is less important than its actual terms, subject matter and performance.

What to record before work begins

  • Scope and deliverable: what exactly the contractor must do, to which requirements and in what quantity.
  • Documents: technical specifications, scope of work, estimate, drawings or other appendices where they define the result.
  • Timing and price: milestones, changes to price, advance payment, final payment and approval of additional work.
  • Materials and quality: who supplies them and how the result and any defects will be checked.

Delivery and acceptance

The customer should inspect the result in the manner agreed in the contract and record objections promptly. In construction contracts, delivery and acceptance are commonly documented by an acceptance certificate. A one-sided certificate does not automatically end a dispute: a court examines the circumstances of delivery and whether a refusal to sign was justified.

If a dispute arises

  1. Collect the agreement and appendices, correspondence, invoices, payments, photographs and certificates.
  2. Compare the work actually performed with the agreed scope and estimate.
  3. Send a written position with specific requests and a response deadline.
  4. Before litigation, review any contractual pre-action procedure and the evidence of delivery or defects.

Legal basis

Chapter 37 of the Russian Civil Code contains the general rules on contracts for work. Russian Supreme Court materials underline the importance of an identifiable result, its delivery and the acceptance process. The outcome in an individual matter depends on the contract and the evidence.
