LLC liquidation or bankruptcy in Russia: differences and checks

Choosing between voluntary liquidation and bankruptcy of a Russian LLC starts with creditor settlements. If assets are insufficient, shareholders’ preference or a promise to “close the company debt-free” cannot decide the route. Establish the financial facts and responsible persons’ duties first.
📊 ReconcileAll obligations and genuinely available assets.
⚖️ EstablishWhether mandatory court-filing grounds exist.
📂 DocumentThe applicable lawful route.

Liquidation and bankruptcy are not synonyms

QuestionVoluntary liquidationBankruptcy
PurposeEnd the company after legally required settlements.Address insolvency and creditor claims through court proceedings.
ProcessLiquidator or liquidation commission; tax-service registration actions.Commercial court and case participants; powers vary by procedure.
Key assessmentAsset sufficiency and ability to meet obligations.Statutory grounds, entitlement or duty to file.
Possible resultTermination entry in the corporate register after completion. Not only liquidation: the general regime allows recovery or a settlement agreement.

A director change, share sale and administrative removal from the register are separate events. They do not replace liability analysis or guarantee release of related individuals.

When ordinary liquidation cannot simply proceed to registration

Civil Code Article 63(4) requires court filing where an eligible liquidating entity lacks sufficient assets or has bankruptcy signs. A shortage of bank cash differs from insufficient assets: saleable property may exist, but value and cash timing need evidence.

Once liquidation is resolved upon, Article 224 identifies the responsible applicant according to whether a liquidator has been appointed. Article 9(3) gives the liquidation commission ten days from discovering insolvency or asset insufficiency. Do not await the end of the creditor-notice period where the trigger already exists; this specific deadline does not replace the director’s rules before liquidation.

Documents before choosing the route

  • Creditors: legal basis, amount, due date, disputed and admitted portions.
  • Bank statements, tax reconciliations, wages and employee obligations.
  • Asset inventory, title, security, restrictions and supported disposal values.
  • Receivables: debt evidence, debtor solvency and realistic recovery.
  • Litigation, enforcement and disputed transactions.
  • Shareholder resolutions, register details, director/liquidator authority and the chronology of problems.

A balance-sheet figure is not a disposal value. Identify closure costs and the evidenced source of funding separately.

Two hypothetical calculations

Scenario A: verified obligations ₽1,200,000, available cash ₽1,600,000 and planned closure costs ₽150,000. Indicative balance: ₽1,600,000−₽1,200,000−₽150,000=₽250,000. This supports examining voluntary liquidation, not a concluded opinion: unrecorded claims may exist.

Scenario B: obligations ₽1,200,000, genuinely available assets ₽700,000 and costs ₽150,000. Indicative deficit: ₽1,200,000+₽150,000−₽700,000=₽650,000. Review insolvency grounds and the filing duty. A shareholder’s promise of future funding is not funds already received.

The figures are illustrative. Neither positive book equity nor comparison with a general creditor-petition threshold alone resolves the debtor’s filing duty.

If liquidation has already begun

Record the resolution, appointment and discovery dates. The special Article 225 regime omits observation, financial rehabilitation and external administration. Its application nevertheless depends on procedural facts; a register label alone does not determine every aspect of the case.

📝 Open a route-assessment memo outline

Assessment date; obligations and supporting documents; assets and valuation basis; available funds and collection dates; closure costs; discrepancies; dates of insolvency indicators; decision and person responsible for the next document. List missing information separately.

This outline records facts; it is not a form that automatically establishes the absence of bankruptcy grounds.

The next step

Where asset sufficiency is established, see the voluntary LLC liquidation guide. For court proceedings, use the corporate bankruptcy overview and liquidating-debtor application guide.

Company liquidation does not itself resolve personal guarantees or liability for a director’s earlier conduct. Assess those obligations and grounds separately.

Frequently asked questions

Which route costs less?

There is no universal figure. Establish the lawful route first, then cost the assets, documents, publications and procedures. A service price does not remove a filing duty.

Does every debt mean bankruptcy?

No. Resources, obligations, timing and statutory signs matter. Assets recorded only on paper do not prove an ability to pay.

Can new creditors be ignored after the liquidation decision?

No. Claims and evidence must be considered; a shareholder resolution does not automatically discharge obligations.

A consultation can compare debts, assets and chronology to assess the applicable route without promising a formal debt-free closure.
