Can You Form a Russian LLC After Personal Bankruptcy?

Short answerOwning an interest and managing a Russian LLC are not the same thing. After completion of personal bankruptcy, an individual is generally barred for three years from holding a management position or otherwise participating in management of a legal entity. The Federal Tax Service has distinguished registration as an LLC member from the right to manage it: bankruptcy does not itself bar membership. Management decisions remain restricted, especially where there is only one member. Forming a company in your own name before the restriction expires therefore requires a role-specific legal review.

Three years

The usual restriction on holding office or otherwise managing an ordinary legal entity.

Member is not director

But a share does not permit management through instructions, powers of attorney or nominal officers.

Count from completion

Use the final order or formal completion record, not the filing date.

Can an LLC be registered immediately?

There is no reliable one-word answer. Article 213.30(3) of Federal Law No. 127-FZ prohibits not only appointment to a management body but also other participation in management. A general director, board member or person giving binding operational instructions plainly falls within the restriction.

Membership of an ordinary LLC remains possible after bankruptcy. In its explanation dated 9 February 2022, the Federal Tax Service distinguished registration of a new member from management rights. This archived explanation must be read together with the current statutory provisions. However, the general meeting of members is the LLC’s supreme body, and a sole member takes those decisions alone. A structure in which the former bankrupt is sole member while a friend appears as director does not make the member’s corporate decisions passive investment.

Practical conclusion: do not rely on a nominal director or a bare registry entry. Review the final bankruptcy document, any former individual-entrepreneur status, the proposed charter and the actual allocation of powers before incorporation.

Which roles are risky?

RoleAssessmentReason
General directorNot permitted during the ordinary three-year periodThe director is the sole executive body.
Board or management-board memberNot permittedDirect membership of a management body.
De facto manager under a power or instructionsHigh riskThe statute covers management beyond formal titles.
Sole memberRequires particular cautionThe sole member personally takes decisions reserved to the members’ meeting.
Minority member with no management activityNo express general ban on ownership; review the roleVoting, binding instructions and side arrangements may amount to management.
Employee without management authorityUsually outside the restrictionActual duties, signature powers and delegated authority matter more than a job title.

When the period is longer

The management restriction is ten years for a credit institution and five years for an insurer, non-state pension fund, management company of an investment fund, mutual investment fund or non-state pension fund, or a microfinance company. For bankruptcy as a registered individual entrepreneur, Article 216(4) generally bars entrepreneurial activity and management of legal entities for five years (ten years for a credit institution). Paragraph 5 provides a specific exception for qualifying moratorium-period debt identified in the final court document; its conditions require individual verification.

Count from the legally relevant completion event stated in the final document, not from the original petition or the date on which bankruptcy was first declared. Check the precise date and basis before signing incorporation papers.

Decision map before forming an LLC
Has bankruptcy ended?

No → assess the rules of the ongoing procedure separately. Yes → identify the completion date and individual status.

Bankruptcy as an entrepreneur?

Yes → check Article 216 and its exception. No → the ordinary Article 213.30 rule; after an MFC procedure also check Article 223.6.

Is the restriction still running?

Yes → distinguish ownership from management decisions. No → check other registration refusal grounds.

Hypothetical example: an individual completes court bankruptcy without entrepreneur status and proposes to acquire a 20% LLC interest. Acquisition alone does not bar registration as a member. Appointment as director, signing as the executive or taking management decisions during the restriction is a different matter. If that individual instead wants to be sole member of a new LLC, appointing another director does not by itself resolve who may lawfully make mandatory corporate decisions. This illustrates role checks; it is not a reported court case.

A breach of management restrictions may cause registration refusal under Article 23(1)(sh) of Federal Law No. 129-FZ. Ownership alone should not automatically be equated with that refusal ground.

Pre-incorporation sequence

Obtain the final document

Confirm how and when the proceedings ended and whether former-entrepreneur consequences apply.

Map every role

Separate ownership, voting, appointment of directors, signature authority and day-to-day instructions.

Review the charter and filing

Compare member and director powers with the restriction; avoid nominal arrangements.

Document genuine management

If the structure is lawful, the independent director must exercise real—not merely recorded—authority.

Keep the evidence

Retain the final order, term calculation, charter, resolutions and authority documents.

Document checklist

  • status at the bankruptcy date: ordinary individual or registered entrepreneur;
  • exact completion ground and date;
  • type of proposed entity, including whether it is a regulated financial institution;
  • who appoints the director and approves accounts and major transactions;
  • powers of attorney, bank access, signature rights and binding instructions;
  • any separate disqualification unrelated to bankruptcy.

Frequently asked questions

May I become director immediately after personal bankruptcy?

Generally no. The ordinary restriction runs for three years from completion of the relevant procedure. Longer periods apply to specified financial institutions.

May I own an interest in an LLC?

Article 213.30 does not express a general ownership ban for an ordinary LLC. Yet corporate voting may be management, making sole-member status especially sensitive.

Does a nominal director solve the problem?

No. The law also covers de facto participation in management, while nominal structures create further corporate, tax and evidentiary risks.

What if bankruptcy was completed out of court?

Article 223.6(5) applies Article 213.30 after completion of out-of-court bankruptcy through an MFC, counting from the completion date. Under Article 223.6(2), Article 216 also applies if the individual left the entrepreneur register less than one year before the MFC application.

May I work for the company as an employee?

Employment alone is not management. Actual duties, signature rights, powers of attorney and operational control determine the risk.
