A subsidiary liability application must explain more than the company’s debt. It should establish the applicant’s standing, the grounds against each defendant, their role, specific conduct and supporting evidence. A list of directors and the creditor-register total is insufficient. In an ongoing case, the application is generally considered within the company’s bankruptcy, while grounds and final amount may be determined at different stages.
This guide helps a bankruptcy creditor of an ordinary commercial company structure the document. It is not a completed application for a particular case. Different standing and procedural rules apply after bankruptcy is completed or terminated; they cannot automatically be imported into a template for ongoing proceedings.
⚖ Standing
Article 61.14 links the right to apply to the grounds and procedural stage, not merely to an unpaid debt.
📂 Facts for each defendant
Control, period, conduct, consequences and documents must be connected to the particular person.
↔ Grounds and amount
An unknown final distribution does not always prevent examination of the liability grounds.
Choose the grounds and check standing first
Article 61.14 identifies those entitled to apply during any bankruptcy procedure. Paragraph 1 concerns the grounds in Article 61.11; paragraph 2 concerns failure or delay in filing the debtor’s own bankruptcy application under Article 61.12. In the latter situation, a creditor must check whether its obligation falls within the period specified in Article 61.12(2).
A claim for inability to pay caused by a controller must not be mechanically equated to a claim for late filing. Article 61.12 requires identification of the responsible person, the event triggering the duty, the filing deadline and obligations arising within the statutory interval. Article 61.11 requires examination of the relevant conduct, causation, presumptions and specific calculation.
The general approach to control is covered in directors, shareholders and controlling persons. The task here is to turn a legal theory into a verifiable procedural document.
What the application should contain
Form and attachments are assessed under Articles 125–126 of the Commercial Procedure Code alongside special bankruptcy rules. Identify the court, bankruptcy case, debtor, applicant and defendants, the signatory’s authority, relief sought, facts, evidence and attachments. Where there are multiple defendants, specify the claim against each.
| Section | Content | Check |
|---|---|---|
| Court and participants | The bankruptcy case, debtor, applicant, defendants and required details | Do not confuse the company debtor with the person facing liability |
| Standing | Creditor status, grounds, procedural stage and the applicable Article 61.14 paragraph | What establishes this applicant’s right to apply? |
| Control and events | Period, authority, actual influence and specific conduct of each person | Provide documents rather than a list of names |
| Consequences and calculation | The link to inability to pay or another applicable ground, amounts and exclusions | Distinguish Articles 61.11 and 61.12 |
| Requested relief | The precise request, defendants, grounds and procedural position on amount | Does the request match the alleged facts and stage? |
A working document framework
To the Commercial Court of […], case No.[…]. Debtor: […]. Applicant: […], procedural status and supporting records […]. Defendant(s): […], legally required information and known identifiers.
Application for subsidiary liability. The current procedure is […], introduced by the order dated […]. The applicant’s standing arises under Article 61.14 […] and is supported by […].
Facts concerning defendant 1: period and indicators of control […]; specific action or omission […]; consequences […]; applicable grounds […]; evidence cross-referenced to numbered exhibits […]. Give defendant 2 a separate corresponding section and explain joint conduct if alleged.
Calculation and deadlines: composition of the amount […], repayments and exclusions […], position on the final amount […]. Dates relevant to timeliness and supporting records […].
Relief sought: formulate the claim against identified persons on the chosen ground. If the Article 61.11 amount cannot yet be determined, explain application of Article 61.16(7) after the other material facts have been established. State and substantiate additional procedural requests separately.
Attachments: numbered list. Date, signature and authority document.
This is a structure, not a universal prayer for relief. For example, a request to recover the entire company debt personally for one creditor cannot be substituted without examination for a claim brought on the debtor’s behalf under Article 61.14. Later disposal of the claim is regulated separately.
Connect each argument to its evidence
Article 61.16(2) provides for leaving an application without movement if it lacks information permitting a sufficiently reliable preliminary inference that the defendant was a controlling person. A job title alone, coupled with a request that the court discover everything else, is insufficient. The admission-stage inquiry is nevertheless different from a final finding that liability has been proved.
| Argument | Possible evidence | Connection to the claim |
|---|---|---|
| Actual control | Company register records, resolutions, powers of attorney, correspondence, instructions and benefit information | How the defendant determined conduct during the relevant period |
| Harmful operation | Contract, source records, payments, valuation and consideration evidence | Why the operation mattered to inability to pay |
| Documentary failure | Requests, inventories, handover acts, gap lists and explanation of consequences | The duty breached and obstruction of the procedure |
| Failure to file | Financial chronology, triggering event and deadline, records establishing when obligations arose | Article 61.12 and the relevant period, rather than the entire register automatically |
| Amount | Creditor register, relevant current claims, distribution reports and a separate calculation | A verifiable balance accounting for exclusions |
Include evidence that the application and attachments unavailable to other participants were sent to them, authority documents, evidence of standing, relevant court orders and the calculation. Article 126 requires the state-duty position to be supported by payment evidence, entitlement to an exemption, or a reasoned request for deferral, instalments or reduction. An application is not automatically free merely because it is filed in bankruptcy; explain its classification and any relief relied upon.
Losses arising from particular events are examined separately in damages against a director. For missing records, identify the particular holder, period, relevance and obstacles to access. A request for “everything” may fail to explain necessity.
Can the application be filed during observation?
Yes. Article 61.14’s wording “during any procedure” includes observation where standing and the chosen ground are satisfied. There is no automatic requirement to wait for liquidation proceedings. Early filing does not remove the need to substantiate the facts.
For Article 61.11, the final amount may depend on later distributions. Article 61.16(7) allows the court, after establishing the other material facts, to determine the grounds and stay consideration until the statutory stage. That does not mean an arbitrary provisional sum has immediately been awarded.
Article 61.14(5)–(6) contains special time rules. Paragraph 5 combines three years from knowledge of the grounds, an outer limit of three years from the bankruptcy declaration (termination of proceedings or return of the authorised authority’s bankruptcy application), and ten years from the relevant conduct. Paragraph 6 separately addresses grounds discovered after liquidation proceedings have ended. The legislation also provides conditions for restoration where a period was missed for a valid reason. Do not use only one convenient number or automatically count from removal from the company register. For older events, separately examine the version applicable in time and transitional rules.
Prepare a calendar: conduct — emergence and discovery of the grounds — evidence of the applicant’s knowledge — procedural events — filing date. The stage’s general effects are discussed in observation in Russian company bankruptcy.
What happens after filing?
- The court examines admission and completeness. If it leaves the application without movement, cure the identified deficiencies by the stated deadline.
- A preliminary hearing is conducted under Article 61.16(3).
- The parties disclose positions and evidence; each disputed event should receive a substantive response.
- The court determines grounds and amount or applies the statutory procedure where the amount cannot yet be established.
- After distributions and the necessary procedural steps, the amount is determined and creditors’ chosen means of disposing of the claim is taken into account.
A defendant’s silence does not automatically result in the application being granted. However, Article 61.16(4) permits shifting the burden of proof where a response is missing without a valid reason or objections are manifestly incomplete. The applicant must still provide its own factual case.
A hypothetical calculation check
Suppose that, after examination of the applicable grounds, the calculation includes claims of RUB 2,400,000. RUB 400,000 has been paid and RUB 100,000 is excluded on an established legal basis. The check is RUB 2,400,000 − RUB 400,000 − RUB 100,000 = RUB 1,900,000.
This illustrates arithmetic within an assumed, defined set of claims. It does not prove that every register amount belongs in a particular defendant’s liability. Article 61.12 uses a different set of obligations and period; an unknown Article 61.11 amount cannot be replaced by guesswork. Identify the reason for every inclusion, exclusion and repayment.
Interim relief requires separate justification: asset freezing in a subsidiary liability dispute. The creditor’s later choice is discussed in disposal and sale of the liability claim.
Questions and legal sources
Can I simply attach the register and name the former director?
No. Establish standing, the defendant’s role, period, particular grounds, conduct and evidence. The company’s debt does not prove every liability condition.
Must I wait for liquidation proceedings?
There is no universal waiting requirement. Article 61.14 permits applications during any procedure where its conditions are met. An application during observation is still examined on its merits.
Is an unknown final amount always a reason the application is premature?
No. For Article 61.11, Article 61.16(7) allows the court, after establishing the other facts, to determine the grounds and stay consideration until the statutory stage of creditor settlements.
Should the application be filed in the director’s personal bankruptcy?
As a general rule, liability is determined in the company debtor’s case. Article 61.16(6) separately regulates parallel bankruptcy of the defendant. Special situations without an ongoing company case require separate examination.
Is the same template suitable for Articles 61.11 and 61.12?
The general structure may be similar, but facts, standing, period and calculation differ. The same creditor register cannot automatically be inserted under both grounds.

Need a draft application reviewed?
An initial consultation can compare standing, grounds, records, deadlines and requested relief. Review requires the draft and materials from the particular case.
