A liquidation balance sheet in Russian company bankruptcy is distinct from final financial statements, the receiver’s final report and the court order. Shareholders, creditors and accountants should first identify which document is requested and why.
Checked on 25 October 2026. This is a legal document-checking guide, not a ready-to-file accounting form. Future amendments have not been applied.
📂 Four distinct documents
| Document | Purpose | Check |
|---|---|---|
| Liquidation balance sheet | Financial position during liquidation | Assets, liabilities and supporting records |
| Final financial statements | Final reporting period | Accounting Law No. 402-FZ Article 17 expressly includes the insolvency practitioner where liquidation follows bankruptcy |
| Receiver’s final report | Procedure results for the court | Attachments under Bankruptcy Law Article 147 |
| Court completion order | Basis for registering liquidation of a bankrupt company | Court order and actual legal entities register (EGRUL) entry |
The ordinary registration package includes a balance sheet under Registration Law No. 129-FZ Article 21(1). Paragraph 2 provides a special basis for bankruptcy liquidation: the court completion order. This different registration route does not extinguish accounting duties.
Accounting Law Article 17 connects final financial statements with the approved liquidation balance sheet and subsequent business events. The reporting date precedes the EGRUL liquidation entry date. Article 18 does not apply to these final statements; this is not a blanket exemption from every other information-filing duty.
🔎 Checking the request and records
- Keep the request and identify its recipient and deadline: court, registration authority, accounting team or case participant.
- Check the stage against court orders and EGRUL. Ordinary liquidation and bankruptcy follow different routes.
- For court, compare the final report with sales, the register, payments, confirmation of individual pension-record information and statutory lists of unpaid claims under Article 147.
- For accounting documents, collect ledgers, inventory, bank statements, receivables and payables schedules, write-off grounds and events after the balance-sheet date. Determine the form and figures under applicable accounting rules instead of copying an old zero template.
- After the order, check EGRUL: Article 149 links completion of the procedure to the liquidation entry.
The report alone does not prove court completion or an EGRUL entry. See the wider guide to distributions and completion of liquidation proceedings.
🧮 A reconciliation example, not a balance sheet
Assume opening cash of RUB 100,000, receipts of RUB 900,000 and documented payments of RUB 950,000. Closing cash: 100,000 + 900,000 − 950,000 = RUB 50,000. Compare this with the bank statement for the same date.
This is cash movement, not a complete balance sheet. Zero cash does not establish zero receivables or absence of unrecorded liabilities. Explain each difference with supporting records.
How can a discrepancy be queried?
Illustrative wording: “Document […] as of […] shows […]. Statement/register […] for the same date shows […]. Please explain the difference, period and transaction basis, and provide supporting records within my access rights. Enclosure: comparison table […]”. State your status, rows and dates rather than simply demanding that everything be reduced to zero.
💬 Frequently asked questions
Does EGRUL registration require the ordinary balance-sheet package?
Bankruptcy liquidation follows the special rule in Registration Law Article 21(2). Do not automatically copy the ordinary package.
Does the receiver report replace final financial statements?
No: the documents have different purposes, contents and statutory bases.
Can a ready-made zero template be used?
Without checking ledgers, assets, liabilities and subsequent events, it may misstate the facts. This guide does not offer such a form.
