In a Russian subsidiary-liability dispute, the court may establish the grounds first and determine the amount later. Waiting for the final figure before challenging grounds already established is risky: paragraph 43 of Resolution No.53 excludes their re-examination when this staged dispute resumes.
This guide is for a defendant or creditor of an ordinary company. Begin with the full ruling and its operative part. The guide to separate bankruptcy disputes explains general procedure; here the focus is the appeal stages of controlling-person liability.

Grounds and amount may be decided in separate rulings
Under Article 61.16(7) of Federal Law No.127-FZ, where the amount of liability under Article 61.11 cannot yet be determined, the court establishes the other relevant circumstances, records the proven grounds in the operative part and suspends consideration of the application. This ruling, like a refusal to impose liability, can be appealed.
Paragraphs41–43 of Supreme Court Plenum Resolution No.53 explain the significance of this stage. Both the finding of grounds and the suspension can be challenged. The finding of grounds in the operative part is binding and is not re-examined when proceedings resume under Article 61.16(9). A later dispute over the amount is therefore not an ordinary substitute for a timely appeal against the grounds.
| Situation | What to examine | Keep the distinction clear |
|---|---|---|
| Grounds established, amount deferred | Findings on control, conduct, causation and the legality of suspension | The absence of a precise figure does not mean there is no appealable ruling |
| Liability refused | The particular reasons for refusal and the applicant’s evidence | Reversal does not always produce an immediate monetary award |
| Amount determined later | Composition of claims, outstanding balances and calculation circumstances | Do not simply repeat the dispute over grounds already binding |
| Grounds and amount established together | Both sets of findings within the appeal’s scope | Specify which part is challenged and why |
| Claim brought outside the bankruptcy case | The procedural route applicable to that separate claim | Do not automatically transfer every rule governing bankruptcy determinations |
Check the one-month period against the particular ruling
Article 61(1) provides a one-month appeal period from the issue of determinations in separate bankruptcy disputes, following the Arbitrazh Procedure Code. Do not treat a ten-day period quoted in an old ruling or template as the universal current rule.
Keep the ruling, full-text date, publication information and evidence of receipt. Special rules on abbreviated reasoning apply only where the statutory conditions are satisfied; do not transfer them to every controlling-person ruling. If the deadline is uncertain or missed, examine the procedural route and grounds for restoration separately. Waiting for the amount does not guarantee restoration.
Build each argument from a finding to the evidence
- Identify the exact court finding and the relevant page of the ruling.
- Explain which rule or assessment of circumstances is challenged.
- Identify the evidence and its location in the case file.
- Explain how the error affected the outcome for the particular defendant.
- State a coherent requested outcome for the relevant part of the ruling.
When appealing the grounds, distinguish controlling-person status, control period, conduct, causation and presumptions. When appealing the amount, examine the composition and outstanding balance of the debt, exclusions and individual objections. The guide to reducing the amount helps with that calculation, but does not remove the binding effect of grounds already established.
Illustrative amount example: suppose the disputed calculation includes RUB3,000,000 but overlooks a documented RUB500,000 payment. The arithmetic balance is 3,000,000 − 500,000 = RUB2,500,000. The payment’s relevance and the other calculation components must still be proved; the example does not automatically establish reversal or reduction.
What belongs in the appeal document set
Article 260 of the Arbitrazh Procedure Code requires identification of the court, appellant and participants, the challenged ruling, case and subject matter, the requested outcome, grounds referring to law and evidence, and a list of annexes. The appellant or a representative authorised to sign must sign the appeal.
- A copy of the challenged ruling and information establishing procedural dates.
- Proof of the applicable fee payment or exemption, or a reasoned application for payment relief.
- Proof that participants were sent copies of the appeal and annexes they do not have, by an authorised method.
- The signatory’s authority and necessary evidence of the representative’s status or qualifications.
- The annexes actually relied on, with clear numbering.
The appeal fee is checked separately from the initial application; the existing guide to bankruptcy appeal fees addresses that issue. Filing is not the same as confirmation that the appeal has been accepted: monitor court determinations and deadlines for correcting defects.
Argument framework: “Paragraph… of the ruling dated… in case… is challenged. The court found… . Document… at case-file pages… establishes… . The error affects… . I request…”. This is a structure rather than a finished appeal: the request must match the appeal court’s powers and the circumstances.
Reversal, rehearing and enforcement are different events
Under Article 272 of the Arbitrazh Procedure Code, the appeal court may uphold the determination, reverse it and remit the issue, or reverse it wholly or partly and resolve the issue on its merits. A rehearing does not equal final release from liability.
Article 61.16(8) addresses a particular situation: after reversing a refusal and finding grounds under Article 61.11, if the amount cannot yet be established, the appeal court establishes those grounds and suspends consideration. Paragraph42 of Resolution No.53 assigns subsequent resumption and amount issues to the first-instance court.
Distinguish enforcement of a monetary ruling from an interim asset freeze. Article 61.16(12) links enforcement of rulings under paragraphs 9–11 to expiry of the appeal period or the appeal court’s ruling. Meanwhile, paragraph 7 expressly preserves interim measures during suspension. An appeal does not automatically lift every freeze.
Frequently asked questions
Is an appeal premature before the amount is determined?
Not necessarily. A determination establishing grounds and suspending proceedings under Article 61.16(7) is separately appealable.
Can the grounds be disputed again when proceedings on the amount resume?
Paragraph43 of Resolution No.53 excludes re-examination of the binding finding of grounds. Check timely challenge of the relevant ruling rather than expecting the entire dispute to restart.
Is the appeal deadline always ten days?
No. Current Article 61 provides one month for the bankruptcy determinations discussed here. Identify the category, date and any special procedure separately.
Does reversal of a refusal immediately establish a recoverable amount?
No. Where the amount cannot yet be determined, Article 61.16 provides for grounds to be established and proceedings suspended, with the amount resolved later.
Does an appeal automatically lift an interim freeze?
No. Challenging the liability ruling and ending interim measures are distinct. Their continuing effect and grounds for cancellation require separate examination.
