Creditors’ Meeting Representative: Election and Authority in Russia

A creditors’ meeting representative is a person authorised by the meeting to participate on its behalf in the arbitrazh court proceedings in a bankruptcy case. This is a distinct collective role under Articles 2 and 35 of Federal Law No. 127-FZ. A power of attorney from one bank, or a large claim held personally, does not itself make someone the representative of the meeting.

Legal sources checked on 24 October 2026. For creditors and their representatives; future amendments are not applied as current law.

🗳️ Meeting decision

The collective mandate comes from election, rather than a letter from an individual creditor.

📨 Court information

Notify the court and the insolvency practitioner of the election and postal address.

🧭 Collective position

The representative conveys the meeting’s position within the decision and the law.

Roles that should be distinguished

RoleSource of authorityWhose interests are represented
An individual creditor’s representativeThe creditor, for example through a power of attorneyThat creditor, including when voting on its behalf
Meeting representativeA decision of the creditors’ meetingThe meeting in the bankruptcy court proceedings
Committee representativeThe creditors’ committeeThe committee, rather than automatically every creditor
Insolvency practitionerCourt approvalPerforms statutory duties; election of a representative does not transfer those duties

One person may have several grounds for participation, but each document should state the capacity in which that person acts. A bank’s power of attorney is not proof of election by the meeting. The creditors’ committee has separate rules.

How to document the election

  1. Include election of a representative in the agenda and identify a candidate who agrees to act.
  2. Check notice, the register, voting claims and quorum. Article 12(2) reserves election to the meeting: it cannot delegate that decision to the committee or practitioner.
  3. Specify the person, case and representation task in the proposed resolution. Record any particular position on a court dispute separately.
  4. Vote under the applicable rules of Article 15. Keep the minutes and supporting material allowing the result to be checked.
  5. Give the elected person the documents and promptly notify the court and practitioner of the election and address.

Preparation for a company’s creditors’ meeting is covered separately. If a question is added at the meeting itself, check the special rules for additional agenda items instead of applying the ordinary majority of those present to that step.

Illustrative calculation under the general rule. The register contains 100 voting units and 60 are present. Ordinary quorum exists because 60 exceeds 50. If the question requires a majority of votes present and 40 vote in favour, the result is 40 / 60 × 100 ≈ 66.7% of those present. Comparing 40 only with all 100 units would be incorrect for that test. Questions requiring a special majority need a different calculation.

Documents for the elected representative

DocumentChecks
Minutes recording the electionDebtor, case number, date, candidate, voting result and mandate limits
Register, ballots and participants’ authority documentsEvidence allowing the votes and decision to be verified
Decisions on the specific court issueThe position to be conveyed and documents supporting it
Notice to the court and practitionerPostal address in Russia and proof of dispatch; electronic contact details may be added

Obtaining the minutes and attachments is a separate practical step. A legal services agreement governs services and payment; it does not replace election by the meeting. Do not assume fees are automatically payable from the bankruptcy estate: the grounds and payment arrangements require separate assessment.

Sample notice of election and address

Paragraph 14 of Supreme Arbitrazh Court Plenum Resolution No. 35 requires prompt notification to the bankruptcy court and practitioner of the representative’s postal address in Russia after election. Once the court has information about the election, the meeting representative is a main participant in the case and a direct participant in all separate disputes at every court level under that clarification.

📨 Working sample to adapt

“To the Arbitrazh Court of […] in case […]. From [name], representative of the creditors’ meeting of [debtor]. I notify the court that the meeting’s resolution dated [date, agenda item] elected me to represent the meeting in this bankruptcy case. Please place the supporting documents on the case file and take my procedural status into account. Postal address in the Russian Federation for correspondence: […]. Additional contact details: […]. Enclosures: minutes and documents confirming election; proof of sending this notice to the practitioner. Date and signature.”

Keep confirmation of filing with the court and sending the notice to the practitioner. This example does not replace analysis of the meeting’s decision or the requirements for a particular procedural document.

Mandate limits and disagreements

Election does not allow the representative alone to decide matters reserved to the meeting, dispose of others’ claims or disregard the meeting’s resolution. Do not substitute one creditor’s personal position for the collective position, even if the representative also works for that creditor. If the resolution or representative changes, update the court and practitioner’s documents.

If the dispute concerns the election decision itself, check the grounds and special time limits for challenging a meeting resolution. A complaint against the practitioner and a challenge to a meeting decision address different matters. Check the documents and deadline before filing.

Frequently asked questions

Does the largest creditor automatically represent the meeting?

No. A collective mandate through election is required. Claim size affects voting weight, but does not replace the decision.

Does one creditor’s power of attorney replace the minutes?

No. It confirms representation of the issuer. A separate basis of election must be shown when acting for the meeting.

Is an email address alone sufficient?

Paragraph 14 of Plenum Resolution No. 35 requires a postal address in Russia. Email and telephone details may be provided in addition.

Can the representative take over the practitioner’s role?

No. These are different roles. The practitioner’s authority follows from law and the court’s order, rather than election of a meeting representative.
