Establish what the recipient actually requires
Obtain the wording of the request: contracts, procurement, banks and internal checks may require different evidence. Clarify whether an official electronic document, bidder declaration, company letter or supporting package is needed. Do not buy a service solely because its title contains “certificate”.
No liquidation resolution, no specified court order and no proceedings whatsoever are different statements. A tax-debt clearance document addresses another question too.
Sources and their limits
| Source | Keep | Limit |
|---|---|---|
| Tax service corporate register, EGRUL | A current electronic extract with identifiers and date. | Registration data do not replace reading the court case. |
| EFRSB insolvency register | Company record and notices, identifiers and check date. | Published information; a negative search requires verification of parameters. |
| Commercial court case database | Case record and operative orders. | Content and stage matter, not merely a case label. |
| Company letter | Signed statement, authority and attachments. | The company’s representation, not a court order or tax-service extract. |
The tax service explains that an electronic extract bearing its qualified electronic signature is equivalent to the corresponding paper document. Retain the original PDF: a screenshot or printout does not replace the signed electronic file.
Checks before signing a company statement
- Match full name, tax identifier and state registration number to the request. A short-name search may find a namesake.
- Obtain a current extract and review registration status and liquidation entries.
- Check EFRSB notices and court orders in located cases. Record date, time, search parameters and links.
- Compare findings with shareholder resolutions and internal records. Registry searches do not replace knowledge of a resolution already adopted internally.
- Resolve contradictions before signing a blanket statement that “bankruptcy is absent”.
Bankruptcy Law Article 28 governs disclosure. A negative search does not establish that the company has no debts or predict solvency.
A company confirmation letter outline
✍️ Open a company letter outline
To:[recipient]. From:[full company name, tax ID, registration number]. Date/reference.
In reply to request[details], we provide information as at[date/time]. For[company], the following verified facts are confirmed:[precise required statement]. Basis:[EGRUL extract/date; EFRSB search parameters/time; court orders if applicable; internal resolutions].
Known matters requiring explanation:[case number, stage, order or discrepancy]. Attachments:[list]. Signatory:[position, name, authority and signature].
This is a structure, not a completed factual confirmation. A blank field does not mean an event is absent. Do not sign unverified wording or conceal a known case because one source lacks an entry.
If requested for procurement under Law 44-FZ
Article 31(1)(3) of Law 44-FZ identifies non-liquidation of a corporate bidder and the absence of a commercial court decision declaring bankruptcy and opening bankruptcy liquidation. This is not automatically equivalent to “no bankruptcy petition has ever been filed”.
Check the applicable procurement requirements for evidence and the declaration mechanism. An informal letter should not replace a mandatory format. For a commercial contract, establish what evidence the recipient accepts first.
If a case or earlier procedure is found
A case number does not reveal its outcome: a petition might have been returned, left without consideration, proceedings terminated or a procedure introduced. Read the latest status-relevant order and its date. An explanatory note and court order may be more accurate than a categorical denial of every event.
For a company choosing its next route, see liquidation versus bankruptcy. The corporate bankruptcy overview explains the stages.
Frequently asked questions
Does one EGRUL extract replace the whole package?
That depends on the recipient’s requirement. Assessing an insolvency case requires comparison with notices and court orders.
Does a letter guarantee there are no debts?
No. Absence of a particular status and absence of debt are different facts. State the verified circumstances and date.
Can a month-old letter be reused?
Check recency requirements and subsequent changes. A status date is not a guarantee that facts remain unchanged.
