A sole participant in a Russian bankruptcy auction is not always its winner. If only one participant is admitted, the auction is declared unsuccessful, but a contract may still be concluded with that participant under the statutory conditions. The sale format, application and final record matter when deciding whether to buy and what happens to the deposit.

One applicant, one admitted participant and one bidder are different situations
First establish what happened on the platform. The only applicant may fail admission; several applications may produce only one admitted participant. Alternatively, two people may be admitted but only one bids. The rule for a sole admitted participant cannot automatically be applied to that last situation.
| Situation | What to check | Significance |
|---|---|---|
| Only one application submitted | Compliance and the admission decision | Applying is not the same as being admitted |
| Only one participant admitted | Admission record, price and application terms | Article 110(17) provides the relevant mechanism |
| Several admitted, only one bids | Auction proceedings, platform rules and final record | The bidder is not automatically the sole admitted participant |
| One applicant at a public-offer sale | The price-reduction period and offers within it | Article 139(4) has special rules |
Keep the platform documents immediately after the procedure ends. The original signed electronic record is more useful in a dispute than a screenshot stating “you are the only participant”. For the broader process, see the guide to bankruptcy auctions.
When can the sole participant enter into a contract?
Under Article 110(17) of Federal Law No. 127-FZ, admitting only one participant makes the auction unsuccessful. A contract is nevertheless concluded with that participant if the application meets the competition conditions or offers at least the starting sale price, depending on the sale format.
Read the sale notice, your application and the admission record together. Then confirm in writing that you wish to buy on the offered terms and request the draft contract. Identify the auction, lot, price, admission date and preferred way to receive the documents. Retain evidence that the message was sent and received.
Before signing, compare the draft with the published terms: assets included, price, payment, handover date and condition, and encumbrances. If it differs, identify the precise discrepancies. Silence instead of a reasoned response makes your position harder to prove later.
Does the lack of competition entitle you to a discount?
Being the only participant does not itself create a right to a further price reduction. Under Article 110(17), the starting price and the participant’s offer are relevant. A possible future discount at a repeat auction does not automatically become the price of the present contract.
Illustration, not a reported case. A lot starts at RUB 2 million. Only one participant is admitted, having offered RUB 2 million. They cannot demand a RUB 1.8 million contract merely because there are no competitors. If the application offers RUB 2.2 million, review the contract against that actual offer rather than assuming the price must return to RUB 2 million.
How many participants were admitted, and on what terms?
What price and obligations did you offer?
Does the draft match the application and sale terms?
Is the deposit returned if you decline the contract?
A sole participant in an unsuccessful auction must not automatically be treated as its winner. Article 110(16) regulates the consequences of the winner’s refusal or failure to sign. Court practice distinguishes that status from a sole participant under paragraph 17. An example is the West Siberian District Commercial Court ruling of 6 March 2017, No. F04-182/2017, case No. A27-12171/2016.
However, a refund cannot be promised in every situation. Check the sale format, record, deposit terms, correspondence and whether a contract has already been concluded. Distinguish refusal of a new draft containing changed terms from refusal to perform an obligation already accepted. After signing, the dispute cannot be reduced to auction-participant status alone.
If you do not intend to buy, state that in writing and request repayment, including bank details and proof of payment. If the money is retained, request the specific legal basis and calculation. The correct claim, defendant and court depend on who received the funds and the legal relationship under which they are retained.
Why must a public-offer sale be checked separately?
In a public-offer sale, the price falls through successive periods. Article 139(4) governs the selection of the buyer, including a single compliant application offering at least the price applicable to that period. Do not mechanically apply the conclusion “I am alone, so the sale failed and I can decline without consequences” from an ordinary auction.
Secured assets also involve the secured creditor’s rights. These do not turn an ordinary bidder into a bank or secured creditor. Taking collateral in satisfaction of a claim has separate conditions and calculations.
Interactive checklist before deciding
Expand each item and review the documents.
☐ Sale format identified
An auction, competition and public-offer sale need different analysis. The platform’s name is not a substitute for the terms of the particular lot.
☐ Application and records saved
Keep the offered price, admission documents, final record, dates and electronic signatures.
☐ Asset checked
Review identifiers, inspection, encumbrances and the practical possibility of handover. Sole participation does not remove risks associated with the asset itself.
☐ Position communicated in writing
Confirm purchase on the offered terms or explain your refusal and refund request. Record delivery.
☐ Contract and payment reconciled
Do not inadvertently sign for different assets or a different price. Check the recipient, bank details and payment deadline.
Frequently asked questions
Does an unsuccessful auction mean no contract is possible?
No. Article 110(17) expressly provides for a contract with the sole admitted participant when its conditions are met.
Can I demand a 10% discount?
The lack of competitors alone is insufficient. Check the sale stage, starting price and participant’s offer.
Is the only person who bids necessarily the sole participant?
No. Check how many people were admitted, how the auction proceeded and the status recorded in the final document.
Can I simply demand the deposit back after signing?
A signed contract creates separate obligations. Its performance, grounds for termination and accounting must be assessed, rather than merely the number of participants.
