Taking Collateral in Russian Bankruptcy: Price and Deadlines

Taking collateral in satisfaction of a claim in Russian bankruptcy allows a secured creditor to acquire the asset instead of receiving proceeds from its sale. After a failed repeat auction, a separate procedure applies: the creditor must exercise the right in time, calculate the acquisition value and make the statutory payment. A letter simply saying “we take the collateral against the debt” is insufficient.

Author: lawyer Pavel Petrov. Legislation checked on 20 October 2026. This article concerns corporate liquidation proceedings; individual bankruptcy has additional special rules.

When a secured creditor can take collateral

The mechanism discussed here requires a failed repeat auction and an established secured claim. Review the security agreement, the court order establishing the claim, the lot description, the approved sale terms and the organiser’s record. A failed first auction alone does not trigger Article 138(4.1).

Compare the cadastral number, VIN or other asset identifiers across all documents. If several assets form one lot, calculating the acquisition price for a single item without examining the sale terms may produce an incorrect result. For the broader rules, see secured creditors’ rights and distributions in bankruptcy.

If the repeat auction has a sole admitted prospective buyer, first check the contract mechanism under Article 110(17). The words “auction unsuccessful” alone are insufficient to assess the bank’s right to take the asset. See contracts with a sole auction participant.

At what price does the bank acquire the asset?

Under Article 138(4.1), the acquisition value after a failed repeat auction is 10% below the starting price of that repeat auction. Do not automatically use the original valuation or the starting price of the first auction.

① Repeat auction

Record its starting price from the notice and sale terms.

② Deduct 10%

This gives the acquisition value, rather than the debt repayment amount.

③ Separate calculation

Check the payment, expenses and remaining claim.

Illustration, not a reported case. If the repeat auction starts at RUB 9 million, the acquisition value is RUB 8.1 million: RUB 9 million × 90%. This establishes only the transfer value. It does not prove that RUB 8.1 million of debt has been repaid or that the bank owes no cash payment.

The mandatory transfer to the special account is determined under Article 138(1) and (2). Preservation and sale expenses under paragraph 6, the secured claim and the applicable distribution rules must also be checked. Before filing the notice, reconcile the acquisition value, secured debt, expenses, reserved amounts, cash payment and remaining claim. A simple “price minus debt” calculation is not a substitute.

Deadlines: 30 days to exercise the right and 10 days to pay

IssueRuleEvidence
Exercising the right after the repeat auctionWithin 30 days after it is declared unsuccessfulAuction record, notice and evidence of receipt by the insolvency practitioner
Transferring the statutory amountWithin 10 days after sending the noticePayment order and special-account statement
Transfer and registrationCheck separately for the relevant type of asset and transaction documentsHandover record and real-estate registration documents

The two periods start from different events. Build a timeline from the documents rather than from the day a bank employee read the publication. Sending a notice on the last day creates a risk of dispute over timely exercise and receipt. Identify the exact lot, value, statutory basis and signatory’s authority, and retain delivery evidence.

Documents before transfer: interactive checklist

Expand each item and check your documents.

☐ Secured status confirmed

Check the court order, established claim amount, security agreement and consistent asset identifiers.

☐ Repeat auction checked

Keep the notice, sale terms and auction record. Record the date it was declared unsuccessful and its starting price.

☐ Calculation reconciled

Show the acquisition value, expenses and special-account transfer separately. Request the basis for each disputed amount.

☐ Notice and payment documented

Keep the signed notice, authority document, delivery evidence, payment order and bank confirmation.

☐ Asset documentation checked

Compare the handover record with the assets actually delivered. For real estate, separately check the documents needed to register the transfer of title.

The debtor and other creditors can use the same documents to check valuation, deadlines and whether costs have been improperly shifted to the general estate. A challenge should identify the specific breach and remedy sought, rather than merely express disagreement with the transfer.

What if the bank does not take the asset?

If the creditor does not exercise the right within the statutory 30-day period, the law provides for sale by public offer with successive price reductions. This does not automatically return the asset to the debtor or extinguish the bank’s claim. Article 138(4.2) provides a separate mechanism at that stage; its price and payment rules must not be confused with paragraph 4.1.

Check the current price-reduction period and whether buyers have applied. The right to take the asset is linked to the absence of applications at that stage’s price. The acquisition value relates to that stage, and the statutory funds must be transferred simultaneously with sending the notice. First identify the sale stage, then select the mechanism. See the general guide to bankruptcy auctions.

Frequently asked questions

Must the bank take collateral if nobody buys it?

No. Article 138(4.1) grants a right. If it is not exercised, the statutory sale procedure continues.

Is a cash payment needed if the debt exceeds the asset value?

The debt amount does not remove the payment obligation. Calculate it under Article 138, taking account of expenses and the statutory distribution.

Can the 10% reduction be used after the first failed auction?

The right discussed here arises after a failed repeat auction. The reduction is calculated from the repeat auction’s starting price.

Are the rules identical for an individual’s only mortgaged home?

No automatic comparison is possible. Individual bankruptcy and an only mortgaged home are subject to special provisions, including Article 213.27-1. Do not apply a corporate distribution calculation without further review.
