Subsidiary Liability After a Russian Bankruptcy Case Is Terminated

Termination of a company’s Russian bankruptcy case for lack of funding does not automatically release its directors or controlling persons. A separate liability claim nevertheless requires a review of creditor standing, the termination ground, previous disputes and the correct forum.

This guide is for an unpaid creditor of an ordinary company. Its main route concerns termination because procedural expenses cannot be funded. A settlement, withdrawal of claims, completion of liquidation bankruptcy and removal of an LLC from the corporate register are not interchangeable events.

▤ The ground

Read the termination order: the reason matters, not merely the label in the case record.

⚖ Creditor standing

Establish the debt and the right to bring a claim or join an existing one.

⌕ Previous litigation

Check the respondent, the factual grounds and the judicial result already reached.

Establish exactly how the bankruptcy case ended

Obtain the complete judicial order, read its operative part and check subsequent review decisions. Record whether a bankruptcy procedure had been introduced and why the case was terminated. The general consequences are covered in the guide to terminating a corporate bankruptcy case. This article concerns the claim against a controlling person.

Article 61.19 provides for separate consideration after liquidation bankruptcy is completed or the case is terminated, subject to Article 61.14. For an Article 61.11 claim, the unpaid debt, the applicant’s standing and when the relevant grounds became known matter. Where an equivalent claim against the same person on the same ground was already adjudicated in the bankruptcy case, repeat proceedings must be terminated.

Who may claim after termination for lack of funding?

The current clarification matters. Paragraph 31 of Supreme Court Plenum Resolution No. 53, as amended on 23 December 2025, permits both the bankruptcy applicant and other creditors to bring a claim where the debt is established by a final judicial act or another document enforceable by law. The older proposition “only the initiating creditor before the first procedure” must not be applied without checking the current text.

This does not remove the need to establish the substantive ground and the composition of the debt. Separate inability to satisfy creditors in full under Article 61.11 from failure to file under Article 61.12. The latter requires the claim to relate to the qualifying new obligations. See the late-filing liability calculation.

Return of an authorised authority’s petition is a different situation. Paragraph 30 of Resolution No. 53 links that authority’s special route to missing adequate evidence of a likelihood of discovering assets sufficient to cover procedural expenses. It does not automatically give everyone else equivalent standing and does not extend to every return for another reason.

Where to apply, including the respondent’s personal bankruptcy

The ordinary Article 61.19 route is linked to the arbitration court that considered the company’s bankruptcy case. Before filing, however, check whether the controlling person is also in bankruptcy. Paragraphs 37.1–37.2 of the current Resolution No. 53 provide specific procedural solutions.

Where the controlled company no longer has a bankruptcy case, a claim that is not a current payment may be brought in the controller’s bankruptcy as an application for inclusion in the creditors’ register. A current claim follows the litigation route. Where a liability dispute is already being heard, the controller’s personal bankruptcy does not by itself prevent it from continuing. The former director’s home address alone is not a sufficient basis for choosing the forum.

Collect the records of both cases and map the position: which proceedings exist, when and on what basis the claim arose, and where it has already been presented. If current-payment classification is disputed, do not replace that analysis with the date of a future judgment.

Other creditors: a separate application or joining?

Paragraphs 51–55 of Resolution No. 53 address claims outside bankruptcy with regard to other creditors and group proceedings. The applicant must invite eligible creditors to join. An EFRSB invitation is published within three working days after the court accepts the application. The court may require additional notification.

Before filing separately, check for an existing claim. Joining requires documents establishing the creditor’s right and compliance with procedure; the state-fee question does not disappear. Assess the amount and exemptions for the particular creditor. A rule for a separate dispute within an active bankruptcy case must not automatically be transferred to this setting.

Keep the notice, proof of sending the joining request and attachments, the receipt date and the judicial record of your procedural position. If documents were sent to the lead applicant, check that your participation is reflected in the case. An oral promise to “include you in the common claim” is not proof of joining.

The creditor’s file before filing

BlockBasic documentsWhat they should explain
The procedural outcomeThe termination order and review decisionsThe reason, stage and effective result
Your debtA judicial act or other enforceable document and payment reconciliationYour entitlement and unpaid balance
The respondent’s conductA control timeline, transactions, statements and correspondence by episodeAn individual ground, rather than merely a job title

Previous claimsApplications and final decisions concerning the same respondentWhether the proposed claim repeats an adjudicated dispute
Creditors and forumKnown claims, the notice and the controller’s bankruptcy detailsThe procedural route and opportunity to join

Article 61.14 contains a three-year knowledge-based period and outer limits, together with a special rule following completion of liquidation bankruptcy. Do not calculate time solely from removal of the company from the corporate register. Restoration of a missed period needs separate justification and is not guaranteed.

Illustrative reconciliation. Your established debt is RUB 1,200,000. You received RUB 150,000 in the procedure and another RUB 50,000 later towards the same debt. The balance is RUB 1,200,000 − RUB 150,000 − RUB 50,000 = RUB 1,000,000. This is an initial reconciliation of the creditor’s claim, not an automatic determination of the respondent’s liability or a promise of recovery. Other creditors’ receipts are not added to your balance.

Position framework: “The case was terminated by the order dated … on the ground of … . The creditor’s debt is established by … and the outstanding balance is … . The respondent’s liability ground consists of …; the relevant information was obtained on … . Earlier proceedings involving the same person and facts … . The appropriate route is determined by …”. Use only verified information. The general application structure needs these additional blocks.

Frequently asked questions

After termination for lack of funds, may only the initiating creditor sue?

That universal restriction does not reflect current paragraph 31 of Resolution No. 53. Check the particular creditor’s standing and enforceable proof of debt.

Does every termination open this route?

No. Identify the precise ground first. Lack of funding, a settlement and return of a petition are different procedural situations.

Can a rejected claim be repeated with different attachments?

A new set of attachments is not automatically a new ground. Examine the relief, factual basis, respondent and scope of the earlier decision.

Does the director’s personal bankruptcy always require a separate lawsuit?

No universal answer applies. With no company bankruptcy case and a non-current claim, inclusion in the controller’s register must be examined. Current claims and already pending disputes follow different rules.

Does an unpaid debt guarantee recovery from the director?

No. The balance establishes the creditor’s unsatisfied interest. The particular respondent’s liability grounds and the proper procedure require separate proof.

Article 61.19 and Article 61.14 of Federal Law No. 127-FZ, version dated 4 August 2026; paragraphs 28–31 of Resolution No. 53 and paragraphs 37–37.2 and 51–55, version dated 23 December 2025. For an initial consultation, prepare the termination order, the debt document, payment details and previous claims against controlling persons. Reviewing them can identify the available route without guaranteeing an outcome.
