Subsidiary liability of a Russian HOA chair: evidence and defence

A Russian homeowners’ association (TSZh) debt to a utility supplier does not automatically become its chair’s personal debt. Subsidiary liability in insolvency requires examination of control, a specific legal ground, the defendant’s conduct and its connection with the inability to pay creditors.

This guide is for a chair, board member or association creditor. Apartments, common property and management changes are covered separately in HOA bankruptcy consequences for owners.

⌂ Association

A separate debtor with its own obligations.

⚖ Authority

Charter, election records, minutes and actual decisions.

▤ Evidence

Period, transaction, defendant’s role and consequences.

Chair, board member and ordinary HOA member

Article 135 of the Housing Code separates the association’s obligations from those of its members. Membership alone does not require paying HOA debts. This rule does not exclude special liability for proven management conduct on the applicable grounds.

Under Article 147, the board manages the association as its executive body. Article 149 gives the chair authority to act without a power of attorney, implement board decisions, sign payment documents and enter transactions within the relevant powers. Check the charter and whether a particular transaction required approval.

Article 61.10(4)(1) of the Bankruptcy Law establishes a rebuttable presumption of control for a debtor’s head and executive-body members. A board member therefore does not necessarily have the same position as an ordinary apartment owner. Controller status still does not prove every condition of recovery. See the general guide to controller liability.

Identify the ground alleged against the chair

GroundWhat is examinedWhat is insufficient
Article 61.11Acts or omissions causing inability to pay creditors in full; applicable presumptions.A utility-contract debt alone.
Accounting recordsThe defendant’s duties, missing or distorted mandatory information and substantial obstruction of insolvency proceedings.A general statement that the archive was not delivered.
Article 61.12The filing duty, deadline and new obligations within the relevant period. All debts without a chronology.

Failure to file is a separate ground. It cannot replace an unproved causal link under Article 61.11, and the calculation is not necessarily the same. See liability for failure to file. Losses from a particular transaction may require analysis of corporate damages; these also do not automatically equal all unpaid debts.

Records to preserve and hand over

Article 148 assigns the board duties concerning contributions, budgets and reports, contracts, recordkeeping and accounting. A dispute requires examination of how duties were allocated, who had access to records and what each defendant actually did.

AreaDocumentsPurpose
AuthorityCharter, election and termination minutes, powers of attorneyWho made decisions and when
ApprovalsBoard and meeting minutes, budgets, attachmentsWhat was approved and what was performed
MoneyStatements, charges, payments, supplier reconciliationsReceipts, expenditure and discrepancies
Residents’ debtsDebt schedules, demands, court documents, collection resultsActual recovery measures and collectible amounts
HandoverSigned inventory, database and media list, receipt confirmation, reservationsWhat was delivered and what is missing

The accounting presumption in Article 61.11(2)(2) and (4) concerns accounting or recordkeeping duties and substantial obstruction of the insolvency process. Do not automatically extend the separate subparagraph 4 concerning documents of specified organisational forms to an HOA.

Does a meeting decision protect the chair?

Minutes help establish authority, the decision and participants’ roles. They do not provide universal immunity: compare the approval with implementation, available information and consequences. Equally, limits on the chair’s powers cannot be ignored, and every decision cannot be treated as the chair’s personal initiative.

Owners’ arrears, supplier disputes or low collection rates require documentary analysis. They establish neither fault nor absence of fault automatically. Separate external causes from management choices: collection timing, use of receipts, contract terms and preservation of assets. A defence under Article 61.11(10) needs specific explanations and evidence.

Prepare the calculation and response

Hypothetical example. A reconciliation shows RUB 2,400,000 of unpaid claims. Later, RUB 500,000 is collected from HOA debtors and RUB 200,000 from selling its property. If both amounts are used to discharge those claims, the remaining balance is 2,400,000 − 500,000 − 200,000 = RUB 1,700,000. This is balance arithmetic, not an established award against the chair. The claim composition, ground, causal link and statutory exclusions still require review.

  1. Obtain the application, attachments and court orders.
  2. Build a chronology of powers, decisions and financial condition.
  3. Separate transaction, document and late-filing allegations.
  4. For each episode, state your role, supporting document and objection.
  5. Reconcile the calculation with repayments and other claims for the same harm.

A working response structure: “During … my powers were defined by … . The decision concerning … was taken by …; performance is confirmed by … . Causation is disputed on the following documents … . The calculation omits …”. Do not backdate minutes. See the controller-liability application guide for procedural structure.

Frequently asked questions

Does every owner answer for HOA debts?

No. Membership and apartment ownership alone do not create that duty. Special liability for management conduct is examined separately.

Can a board member also be a defendant?

Yes. Executive-body membership must be considered together with the control presumption. The person’s role, legal ground and liability conditions must still be established.

Does leaving office remove the risk?

It does not prevent examination of earlier conduct. Document the termination date and handover; subsequent decisions must be distinguished.

Does appointing an accountant release the chair?

Not automatically. Accounting organisation, allocation of duties and actual conduct are examined. One accountant contract does not replace that analysis.

Will the entire utility debt be recovered personally?

Not automatically. The ground is established first, then claim composition and amount are checked against the law, repayments and the defendant’s evidence.

Review authority and records

Prepare the charter, minutes, application and payment reconciliation. An initial consultation can identify missing evidence and the steps for preparing a response.
